Turned out to be the 3rd party memory (SimpleTech 1G stick that MacMall sells). Swapped in Apple Memory - all is well now.

iTunes is only compatible with iPod... of course you have to use Apple Memory... And at least you don't see BLUE SCREEN when it reboots suddenly :-)
